ACCEPTANCE OF THESE TERMS OF SERVICE
These “Terms” are a condition of your access to, participation in, and use of Mindnova Services (as defined below). This is a binding agreement between you and Mindnova. “We”, “us”, and “Mindnova” refer to the applicable Mindnova entity. “You” and “users” mean any participant in or user of Mindnova Services. You confirm your acceptance of these Terms each time you access or use any Mindnova Services. If you do not accept these Terms, you are not permitted to use Mindnova Services.

MINDNOVA CONTRACTING PARTY
Your “Access Location” is the location from which you access or participate in Mindnova Services.

• If your Access Location is in the United States, the “Mindnova Contracting Party” is Mindnova LP, a Delaware limited partnership.

• If your Access Location is outside the United States, the “Mindnova Contracting Party” is Mindnova Inc., an Ontario corporation.

MINDNOVA SERVICES
“Mindnova Services” means the website located at mindnova.io and all functionality and services available from that site or from Mindnova, including accounts, software, training, programs, courses, events, or content—whether free or paid.

REVISIONS TO TERMS
We may update these Terms at any time. Your continued use of Mindnova Services confirms your acceptance of the updated Terms.

AGE RESTRICTION
You must be 18 years or older to use Mindnova Services.

PRIVACY
These Terms include Mindnova’s Privacy Policy. Your personal information will be treated accordingly.

COMMUNITY GUIDELINES AND CONDUCT
You agree to comply with Mindnova's Community Guidelines and policies at all times when using Mindnova Services. Violation may result in immediate termination of your access.

ACCOUNTS, PASSWORDS, SECURITY
You are responsible for your Mindnova account, including password security, up-to-date info, and all activity under your login credentials.

COURSES AND ADDITIONAL TERMS
Enrollment in any Mindnova course may be subject to additional terms presented at the time of registration.

DISCOUNTS AND SCHOLARSHIPS
All promotional benefits must be used within 12 weeks and cannot be transferred or combined.

INFORMATION SHARED WITH EDUCATORS
Educators may request your contact details for service delivery only. Misuse should be reported to Mindnova.

OWNERSHIP AND USE OF CONTENT
All Mindnova Services and content—including curriculum, slides, media, and code—are the property of Mindnova or its licensors. You are granted a limited, non-transferable license for personal, non-commercial use only.

LIMITED LICENSE TO USE CONTENT
You may only use Mindnova content for personal, course-related use. Any sharing, copying, or commercial use is strictly prohibited unless explicitly allowed.

USE OF AI OR RECORDING TOOLS
Use of AI transcription or similar tools to capture or redistribute content is not permitted unless explicitly authorized.

MINDNOVA TRADEMARKS
Mindnova branding, including logos and taglines, are proprietary trademarks and may not be used without permission.

USER CONTENT AND STUDENT WORK
By submitting content or Student Work, you grant Mindnova a perpetual, worldwide, royalty-free license to use it for promotional purposes.

CONTENT OWNERSHIP WARRANTIES
You warrant that you own the content you post and indemnify Mindnova for any resulting claims.

ELECTRONIC COMMUNICATIONS
You consent to receiving emails from Mindnova. You may opt out by contacting us at contact@mindnova.io.

PUBLICITY
You consent to Mindnova using your name, image, and testimonials for marketing purposes unless you notify us otherwise.

FEEDBACK AND SUGGESTIONS
Suggestions you submit may be used by Mindnova for any purpose without compensation.

USER RESPONSIBILITY AND PROHIBITED USES
You are responsible for your actions and any content you post. Misuse of Mindnova Services, including harassment, data scraping, or illegal activity, is strictly prohibited.

SUSPENSION OR TERMINATION
Violation of these Terms may result in suspension or termination of your access to Mindnova Services.

THIRD-PARTY LINKS
Mindnova is not responsible for content on third-party websites linked from its services.

RELEASED PARTIES DEFINED
“Released Parties” include Mindnova and its affiliates, employees, agents, educators, contractors, and licensors.

DISCLAIMER OF WARRANTIES
Mindnova Services are provided “as is” without warranties. Use is at your own risk.

LIMITATION OF LIABILITY AND INDEMNIFICATION
Mindnova is not liable for indirect or incidental damages. Our maximum liability will not exceed $100 or the amount you paid for the service in question.

GOVERNING LAW
If your Access Location is in the U.S., these Terms are governed by the laws of New York. If outside the U.S., they are governed by Ontario law.

MANDATORY ARBITRATION
For U.S. users, disputes will be resolved through binding arbitration or small claims court in New York, NY, under American Arbitration Association rules. Class-wide arbitration is not allowed.
